Parties
These terms apply between API Haven Consulting (proprietor: Lim Wei Jian, SSM 202103084729) and the client identified in a statement of work or invoice.
Services
We provide programming consulting focused on API security and authentication: audits, design workshops, and technical advisory as described in each statement of work. Unless explicitly stated, we do not provide managed security operations or unlimited implementation labor.
Engagements and fees
Fees, deliverables, and timelines are defined in a written statement of work or proposal accepted by both parties. Invoices are payable by bank transfer within fourteen (14) days unless otherwise stated. SST will be shown on invoices when applicable.
Client responsibilities
You will provide timely access to systems, documentation, and personnel reasonably required for the engagement. Delays caused by missing access may shift schedules without reducing fees for work already performed.
Confidentiality
Each party will keep the other’s non-public technical and business information confidential, except where disclosure is required by law or already public without breach.
Intellectual property
Deliverables created specifically for you under a paid engagement are licensed to you for internal use upon full payment. We retain rights to general know-how, templates, and pre-existing materials.
Limitation of liability
To the fullest extent permitted by Malaysian law, our aggregate liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential losses. Consulting output is professional advice; you remain responsible for production changes and compliance decisions.
Governing law
These terms are governed by the laws of Malaysia. Courts in Johor Bahru have non-exclusive jurisdiction unless the statement of work specifies otherwise.
